Terms of Service
These Terms of Service ("Terms") govern your use of the TeamOffice platform ("Service"), operated by Column Seven (8 The Green, Ste B, Dover DE 19901, USA). By using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
Our Privacy Policy and Data Processing Agreement form part of these Terms.
1. No professional advice
TeamOffice provides software that assists professionals with drafting, research, analysis, and workflow automation. Output generated by TeamOffice, including AI-generated drafts, summaries, and analysis, does not constitute professional advice. No professional relationship is formed between you (or your clients) and TeamOffice or Column Seven.
You are solely responsible for reviewing, verifying, and taking professional responsibility for any content you use, file, or send. AI output must be reviewed by a qualified professional before use.
2. AI output disclaimer
Portions of the Service use large language models. AI output may contain errors, omissions, or fabricated references ("hallucinations"). TeamOffice makes no warranty as to the accuracy, completeness, or fitness of AI output. Your professional judgment is not delegable to the Service.
3. Confidentiality
You retain all rights in Workspace Content. We access it only to provide the Service, as described in the Privacy Policy and DPA, and we never use it to train AI models.
We will not disclose Workspace Content except as required by law, and where legally permitted we will notify you before complying with any compelled-disclosure demand relating to your content.
4. Data protection roles
For Workspace Content, you are the data controller and we are your processor under the DPA, which forms part of these Terms. You are responsible for:
- having the right to upload the content you process, including any personal data of clients and third parties it contains;
- obtaining any consents or authorisations required for use of third-party processors and AI tools;
- responding to data-subject requests relating to content you control; and
- ensuring your use of the Service complies with applicable professional conduct rules, including those governing the use of technology and cloud services.
5. Bring-your-own-key (BYOK)
If you connect your own AI-provider API keys, requests routed with those keys are governed by your agreement with that provider, not by our sub-processor terms. You are responsible for ensuring your chosen provider's data handling meets your obligations. We store your keys encrypted and use them only to route your requests.
6. Connected apps
When you connect third-party applications, you authorise TeamOffice to access those applications on your behalf to perform the actions you request. Your use of connected applications remains subject to their own terms. Disconnecting an integration revokes our access.
7. Collaboration
When you invite collaborators into a workspace, you confirm you are authorised to share the relevant content with them. Collaborators' use of the Service is subject to these Terms.
8. Voice captures
You are responsible for complying with applicable recording and consent laws when creating voice captures, including obtaining consent from recorded parties where required by the law of your jurisdiction.
9. Acceptable use
You must not use the Service to:
- process data you have no right to process;
- attempt to extract or reconstruct another customer's data;
- submit content designed to compromise the Service or its AI providers;
- engage in any activity that violates applicable law or regulation; or
- harass, abuse, or harm any person.
We reserve the right to suspend or terminate access for breaches of these rules.
10. Service limitations and liability
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Column Seven excludes all warranties, express or implied, regarding the Service.
Column Seven's aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of (a) the fees you paid in the 12 months preceding the claim or (b) US$100. TeamOffice is not liable for professional consequences arising from unreviewed use of AI output, missed deadlines, or reliance on generated content.
Nothing in these Terms excludes liability that cannot be excluded by applicable law, including liability for fraud or death or personal injury caused by negligence.
11. Accounts, billing, and termination
You are responsible for maintaining the security of your account credentials. You must notify us promptly of any unauthorised access. Subscription fees are billed in advance and are non-refundable except as required by law or at our discretion.
Either party may terminate the agreement on reasonable notice. We may suspend or terminate your access immediately for breach of these Terms, non-payment, or if we reasonably believe continued access poses a risk to the Service or other users.
On termination, you may export your data before the deletion window closes (see DPA Section 3(7)).
12. Changes to these Terms
We may update these Terms for reasons including legal changes, new features, or business changes. We will notify you of material changes by email and require your re-acceptance in the app before you can continue using the Service. Continuing to use the Service after a non-material change constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service, except where mandatory consumer-protection law in your jurisdiction provides otherwise.
14. General
If any provision of these Terms is unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of that right. These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and Column Seven regarding the Service.
